 SUBJECT Declaration of no dividend and date for Shareholders'Meeting
  Delisting of Rajadamri Hotel Public Company Limited from the Stock
  Exchange of Thailand
 
 TO: President
  The Stock Exchange of Thailand
 
 The Board of Directors of Rajadamri Hotel Public Company Limited at
 a Meeting  No. 1/2007  held on  March 8, 2007 passed the following
 resolutions:
 
 1)   No Annual Dividend Payment
 No dividend payment for the year 2006 operation.
 
 2) Delisting of Rajadamri Hotel Public Company Limited share from
 the Stock Exchange of Thailand
 Approve the delisting of Rajadamri Hotel Public Company Limited's share
 from the Stock Exchange of Thailand and will propose for their approvals to
 the Ordinary Annual General Meeting of Shareholders on April 12, 2007.
 
 3)  Shareholders'Meeting
 The Ordinary Annual General Meeting of Shareholders No.1/2550 will be
 held on April  12, 2007   from  16.00 hours  at  Four Seasons Hotel Bangkok.
 
  3.1 The company's registration book will be closed for the right to
 attend the AGM on March 23,2007  at 12.00 a.m.  until after the meeting.
 
  3.2 The agenda for the AGM will be:
 Agenda 1   To certify the minutes of the Ordinary Annual General Meeting of
     Shareholders No. 1/2549   held on April 18,2006
 Agenda 2        To certify the company's Annual Report for 2006
 Agenda 3        To approve the company's audited balance sheets, profit and loss
       statements, and cash flow statements as at 31 December 2006
 Agenda 4        To consider no dividend payment for 2006's operational results
 Agenda 5        To appoint directors to succeed those completing their terms,
     and fix directors'  remunerations for 2007
 Agenda 6        To appoint an auditor and fix the auditing fees for 2007
 Agenda 7        To approve the delisting of Rajadamri Hotel Public
      Company Limited  from the Stock Exchange of Thailand
 Agenda 8         To consider other issues

 The meeting of the Board of Directors of the Company No. 1/2007, held
 on 8 March 2007, at 11:00 a.m., has passed resolutions for submission to
 the shareholders of a proposal to delist the shares of the Company from the
 Stock Exchange of Thailand with the following details:
 1. Type of Securities of the Company
 
 1.1 Ordinary shares
 
 1.1.1 In the amount of 45,000,000 shares at the par value of Baht 10 each,
  totalling Baht 450,000,000.
 
 1.1.2 Becoming listed securities on the Stock Exchange since April 1, 1993.
 
 1.1.3 The latest trading price: Baht 59.50 per share on 27 February 2007.
 
 1.2 Debentures/Convertible Debentures

 2. Date of presentation to make recommendations concerning delisting of shares
 
 Presentation will be held on 5 April 2007 at 9:00 a.m. at Four Seasons Hotel
 Bangkok, 155 Rajadamri Road, Lumpimi, Pathumwan, Bangkok.
 
 3. Date of shareholders meeting for delisting of shares
 
 The Annual General Meeting of Shareholders for the year 2007 will be held on
 12 April 2007 at 16:00 p.m. at Four Seasons Hotel Bangkok, 155 Rajadamri Road,
 Lumpimi, Pathumwan, Bangkok.
 
 The share register will be closed to determine the shareholders'entitlement to
 attend the Annual General Meeting of Shareholders for the year 2007 from
 23 March 2007 at 12:00 noon until conclusion of the shareholders'meeting.
 
 4. Reasons and facts concerning the delisting of shares
 
 4.1 Throughout these many years, the trading volume of the
 Company's shares has been thin. This coming delisting will give the existing
 shareholders an opportunity to sell their shares to the tender offeror at the
 tender offer price.
 
 4.2 The Company has small shareholders, altogether holding
 less than 15%, of the total issued and paid-up shares. As such, the Company
 lacks the qualification of a listed company on the SET in terms of share
 distribution. In addition at present, its major shareholders have no
 intention to dilute their shares.
 
 4.3 The Company has to bear expenses in maintaining the
 listing status , such as an annual fee, an auditing fee for review of
 quarterly financial statements, and other expenses pertaining to the
 disclosure of the Company's information.  On the contrary, if non-listed,
 the Company will not be bound to pay for such costs and its overall
 expenditure can be lowered, thus bringing in more benefits to the
 shareholders.
 
 4.4 The Company has strong operational performance and financial
 status that can comfortably meet its working capital needs and future business
 expansion.  Therefore, it has no need to raise funds through the stock market.
 Moreover, the Company can raise fund from other sources
 when it needs in the future.
 
 
 
 
 5. The general offer to purchase shares and other securities convertible
 into shares of the company from the shareholders and holders of securities.
 
 5.1 The offeror or group of offerors and relationship with the Company:
 
 Hua Hin Resort Co., Ltd. is a major shareholder of the Company holding
 18,687,590 shares, representing 41.53% of the total issued shares in
 the Company.
 
 In addition, Minor International Public Company Limited, the group of
 the offeror (holding 100% shares of the offeror) holding 22,185,565 shares,
 representing 49.30% of the total issued shares in the Company.
 
 5.2 Offer price of securities (classified into each type of securities)
 
 Ordinary share at Baht  64.02  per share

คิดอยู่เหมือนกันว่า คงต้องมีซักวันว่า คงต้องถูก Delist และทำ Tender
ลึกๆ แล้ว ที่ถือมานี่ แม้ปันผลจะไม่มาก ราคาไม่เคลื่อนไหว เท่าไหร่
แต่ก็ถือมานาน และ มีความสุขกับมันดี นะครับ

เห็นทีว่า ผมคงจะขายคืนให้ Mint ไปล่ะ ครับ
ส่วนที่จะเก็บไว้เป็นที่ระลึก ไว้นั้น
ถ้าไม่เบื่อที่จะมีหุ้นเล็ก หุ้นน้อย อาจจะเอาไว้สักหน่อยครับ

ด้วยความเคารพ ผมก็ไม่ทราบว่า อะไรดลใจให้มีผู้มาแย่งกันซื้อหุ้นตัวนี้
ทั้งๆ ที่ Mint ผู้ถือหุ้นรวมกว่า 90% จะ Delist แน่นอน
เห็นทีว่า คงเป็นผู้ประสงค์จะตามไปเป็นผู้ถือหุ้นนอกตลาดแน่แล้ว

ส่วนผมนั้นขายหมูไปตั้งแต่ 65 บาท แล้วครับ
เหตุเพราะไม่อยากตามไปถือหุ้นนอกตลาด
อย่างไรก็ดี ยังเหลืออยู่นิดหน่อย
เพื่อไปติดตามข่าวสารในวันประชุมผู้ถือหุ้น ครับ
